Terms of Service
These terms apply when you use Felspar: the felspar.ai website, the web app at app.felspar.ai, the API at api.felspar.ai, the MCP server at mcp.felspar.ai, and the Felspar app and plugin for ChatGPT and Claude (together, the “Service”). felspar is a product of Orchid Automation (“we”, “us”, operator of felspar). Our registered mailing address is 121 E Jackson Ave, Suite 1000, Knoxville, TN 37932.
If you use the Service for a company or other organization, you accept these terms on its behalf and confirm you are authorized to do so; “you” then means that organization. If your organization has a signed agreement with Felspar, that agreement takes precedence where it differs from these terms.
1. The Service
Felspar lets a company turn its policy documents into tested, versioned Decision Packs, approve and release them, and have its agents ask Felspar for decisions under the released pack. Each decision comes with an explanation and a receipt recording how it was reached.
Early access. Felspar is in early access. Features may change, be limited or be removed, access may be by invitation, and the Service may be interrupted. Unless we agree otherwise in writing, there is no service-level commitment.
2. Accounts and workspaces
- Give accurate account information and keep it up to date.
- Each workspace has an owner, who manages members, roles and agents. Owners and approvers are responsible for who they invite and what they approve and release.
- Keep sign-in details and agent API keys confidential. Agent keys are shown once; if one may be exposed, revoke it from the workspace page and register a new one.
- You are responsible for activity under your workspace, accounts and agent keys. Tell us promptly at hello@felspar.ai if you suspect unauthorized use.
3. Your content
“Your Content” means what you or your agents put into the Service: connected documents, pack drafts, test cases, proposals, approvals, releases, evidence and the decision records produced from them. You keep all rights to Your Content.
You give Felspar permission to host, copy, process and transmit Your Content only as needed to provide, secure and support the Service and as you instruct. Our Privacy Policy explains how we handle personal information, including Google user data, and how long we keep content.
You are responsible for having the rights to the documents you connect and the evidence your agents send, and for giving any notices and getting any consents needed for personal information in them. Do not send passwords, credentials, payment card data, health information, government identification numbers or other sensitive data the job does not need.
4. What Felspar decisions are, and are not
Felspar applies the rules in the packs your team approved to the evidence your agents send. A result, explanation or receipt records which release and evidence produced a decision. It is not:
- legal, compliance, financial or other professional advice;
- a certification that any fact or piece of evidence is true, complete or current;
- a legal, security or regulatory approval or certification; or
- a guarantee that any downstream system or agent will act on, or be stopped by, a decision.
Approvals in Felspar are your team’s own decisions; Felspar does not review the meaning of your policies for you. Felspar uses a model to read what evidence excerpts say, and it can be wrong or unable to decide; the decision itself follows your approved rules. You remain responsible for your policies, the evidence you send, and the actions you and your agents take. Do not rely on the Service alone for decisions with legal or similarly significant effects on individuals, such as employment, credit, housing or insurance, without appropriate human review.
5. Other services
The Service works with services we do not control, including Google Drive, Notion, ChatGPT, Claude and your own agents and automations. Your use of them is governed by their own terms, and you are responsible for your accounts and costs with them. For example, when you draft packs in ChatGPT or Claude, that work runs on your own account with OpenAI or Anthropic. Felspar-funded model use is subject to the limits we set.
6. Acceptable use
You will not, and will not let others:
- use the Service in violation of law or the rights of others;
- upload content you do not have the right to use, or malicious code;
- try to access another workspace’s data, get around access checks, usage limits or other protections, or interfere with the Service;
- probe or test the Service’s security except as described on our Support page;
- reverse engineer the Service, except where the law allows it despite this restriction;
- resell or provide the Service to third parties without our written agreement; or
- use the Service to send spam or to harass, deceive or harm anyone.
We may remove content or limit access where needed to address a violation.
7. Fees
Fees are as listed in your order form or on the applicable pricing page. Pilots are free unless otherwise agreed in writing, and either party may end a pilot.
8. Feedback
If you send us suggestions or feedback, we may use them without obligation to you.
9. Felspar’s rights
Felspar and its licensors own the Service, including its software, design and documentation. These terms do not give you any rights to them other than to use the Service as described here.
10. Suspension and termination
You may stop using the Service at any time, and a workspace owner may ask us to close the workspace. We may suspend or end access if you breach these terms, if your use creates a security or legal risk, or if we stop offering the Service; where reasonable, we will give notice first. When access ends, the retention and deletion practices in the Privacy Policy apply; account and workspace deletion is handled manually within 30 days, subject to the exceptions in that policy. Ask us within 30 days of closure if you need a copy of Your Content that we still hold. Sections 3, 4 and 8 to 14 continue after termination.
11. Disclaimers
To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that decisions or model readings will be correct.
12. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Orchid Automation’s total liability arising from these terms or the Service is limited to the greater of the amounts you paid Felspar for the Service in the 12 months before the claim and US$100. These limits do not apply where the law does not allow them.
13. Indemnity
You will defend and indemnify Felspar against third-party claims arising from Your Content or your use of the Service in breach of these terms or the law.
14. General
- Governing law. These terms are governed by the laws of the State of Tennessee, and disputes will be resolved in the courts of Knox County, TN.
- Changes. We may update these terms. We will post the new version here and, for significant changes, tell workspace owners in advance by email or in the app. Continuing to use the Service after a change takes effect means you accept it.
- Other terms. If part of these terms is unenforceable, the rest still applies. Not enforcing a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. These terms, with any order form or signed agreement, are the whole agreement about the Service.
